01 Introduction & Acceptance

These Terms of Service (the "Terms") govern your access to and use of the website located at nexttalentinc.com (the "Site") and the NXTE competition platform, including its web application, mobile-responsive interfaces, and Telegram Mini-App (collectively, the "Platform"). The Site and the Platform are owned and operated by Next Talent Inc., a Delaware corporation ("Next Talent," "we," "us," or "our").

By accessing the Site, creating an account, entering a competition, depositing funds, or otherwise using the Platform, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Site or the Platform.

These Terms constitute a legally binding agreement between you and Next Talent. You should read them carefully and retain a copy for your records.

02 Definitions

The following terms have the meanings set forth below:

  • "Account" means the registered user account you create on the Platform.
  • "Cash Competition" means a tournament, league, or match in which entry is paid in U.S. dollars and prizes are awarded in U.S. dollars.
  • "Competition" means any tournament, league, match, ladder, or other organized contest offered on the Platform.
  • "NC" or "Next Coins" means the Platform's loyalty currency, described in Section 6.
  • "NC Competition" means a Competition for which entry is paid in NC.
  • "Prize" means cash, in-kind, or other consideration awarded to the winner(s) of a Competition.
  • "Prohibited Jurisdiction" means any U.S. state, territory, or foreign jurisdiction in which Cash Competitions or NC Competitions are not permitted by applicable law, as set forth in Section 3.
  • "User" or "you" means any individual who accesses the Site or the Platform.
  • "XP Match" means a free-to-enter Competition awarding ranking points only, with no monetary value.

03 Eligibility

3.1 Age

You must be at least 18 years of age to register for an Account or use the Platform, regardless of the age of majority in your jurisdiction. We do not knowingly permit any individual under 18 to access, register for, or use the Platform. If we determine that an Account holder is under 18, we will close the Account, void any pending Prizes, and return any unused deposited funds in accordance with our refund policy.

3.2 Capacity

You represent and warrant that you have the legal capacity to enter into a binding contract, that the information you provide upon registration is true and accurate, and that your use of the Platform does not violate any applicable law, regulation, or third-party agreement.

3.3 Geographic Restrictions for Cash Competitions

Skill-gaming regulation varies by jurisdiction. To comply with applicable state and federal laws, Cash Competitions are not available to Users physically located in the following U.S. states:

Users located in Prohibited Jurisdictions may still participate in XP Matches and other non-monetary Competitions. We use IP geolocation and, where applicable, payment instrument data to enforce these restrictions. Use of a VPN, proxy, or other technology to circumvent geographic restrictions is prohibited and may result in Account termination and forfeiture of funds.

The list of Prohibited Jurisdictions is subject to change as laws evolve. The current list is maintained on this page and supersedes any prior version.

3.4 Sanctions and Export Controls

You may not use the Platform if you are located in, or are a resident or national of, a country or region subject to comprehensive U.S. sanctions (including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine), or if you appear on any U.S. government list of prohibited or restricted persons.

3.5 Employees and Affiliates

Employees, officers, directors, agents, and immediate family members of Next Talent Inc. and its engineering partners may not participate in Cash Competitions, except as expressly authorized in writing.

04 Account Registration

4.1 One Account Per User

Each User is permitted one Account. Creating duplicate Accounts, sharing Accounts, or transferring an Account to another person is prohibited. We may close any duplicate or shared Accounts and void any related winnings.

4.2 Accurate Information

You agree to provide accurate, complete, and current information during registration, including your legal name, date of birth, email address, and (where required for withdrawals) government-issued identification. Providing false information is grounds for immediate Account termination.

4.3 Account Security

You are responsible for safeguarding your Account credentials and for all activity that occurs under your Account. Notify us immediately at security@nexttalentinc.com if you suspect unauthorized access.

4.4 Identity Verification

We may require identity verification at registration, prior to your first withdrawal, or at any time we reasonably determine necessary for compliance, fraud prevention, or risk management. See Section 8 for details.

05 Skill-Based Competitions

5.1 Skill, Not Chance

Competitions on the Platform are contests of skill. The outcome of each Competition is determined by the participants' relative skill — including mechanical execution, strategic decision-making, knowledge of the game, and other forms of human ability — and not by chance, randomization, or wagering on outcomes outside the participant's control.

We design our Competitions to satisfy the legal tests applied by courts in determining skill-based contests, including the "dominant factor" and "material element" tests. Where the underlying video game contains incidental elements of chance, the skill of the participants remains the dominant factor in determining the outcome over the course of a Competition.

5.2 Pre-Announced Prize Pools

Prize pools for Cash Competitions are announced in advance of the start of each Competition, are guaranteed by Next Talent, and are not contingent upon the number of entrants or the aggregate amount of entry fees collected. This structure ensures that Cash Competitions are skill-based contests with pre-determined prizes and not wagers on uncertain events.

5.3 Competition Formats

The Platform offers the following Competition formats:

  • Cash Match. Direct head-to-head or small-group Competitions with USD entry and USD prize disbursement.
  • Tournament. Bracket or round-robin Competitions, typically with NC entry, awarding cash or NC Prizes.
  • League. Season-long Competitions with NC entry and cash or NC Prizes for top finishers.
  • XP Match. Free-to-enter Competitions awarding ranking points only, with no cash or NC Prize value.

5.4 Competition Rules

Each Competition is governed by its own published rule set, which is presented before entry and which forms part of these Terms with respect to that Competition. By entering, you agree to abide by the published rules, including format, scoring, deadlines, conduct standards, and dispute procedures.

5.5 Entry Fees

Entry fees are charged at the time of Competition registration and are non-refundable once the Competition has begun, except as set forth in Section 9.

5.6 Prize Disbursement

Prizes are disbursed to the User's Platform wallet upon verified completion of the Competition and any applicable result-verification or dispute period. Cash Prizes are subject to the withdrawal and identity verification requirements in Sections 7 and 8.

If we are unable to disburse a Prize to a winner — for reasons including but not limited to failure to verify identity, residency in a Prohibited Jurisdiction at the time of payout, sanctions screening, or violation of these Terms — the Prize will be voided or, at our discretion, redistributed in accordance with the applicable Competition rules.

06 NC Tokens

NC are not cryptocurrency. NC ("Next Coins") are a database-backed loyalty currency similar to airline miles or coffee-shop rewards points. NC are not a cryptocurrency, security, investment instrument, NFT, or blockchain-based asset. NC have no monetary value outside the Platform.

6.1 What NC Are

NC are an internal Platform currency used to enter NC Competitions, access certain features, and participate in the Platform economy. NC are issued and tracked solely within the Next Talent database; there is no public ledger, no decentralized network, and no third-party exchange on which NC are traded.

6.2 Acquiring NC

You may acquire NC by (a) purchasing them with U.S. dollars at posted rates, (b) earning them through Platform activity (such as XP rewards, referral programs, or promotional grants), or (c) receiving them as a Prize in an NC Competition.

6.3 No Cash-Out of NC

NC cannot be redeemed for cash, transferred between Users, sold to third parties, or exchanged for any external currency. Prizes won in NC Competitions that are awarded in U.S. dollars are paid in cash, not NC.

6.4 Expiration and Forfeiture

NC may expire after a period of Account inactivity as disclosed in the Platform interface. NC are forfeited upon Account termination for cause under Section 15. NC have no value upon forfeiture.

07 Wallet, Deposits, and Withdrawals

7.1 Wallet

Each Account has an associated wallet that holds your U.S. dollar balance, your NC balance, and any pending Prize disbursements. Wallet balances are not bank deposits, are not FDIC-insured, and do not accrue interest.

7.2 Deposits

You may fund your wallet by credit card, debit card, or other payment methods made available on the Platform, processed through our third-party payment processors. By initiating a deposit, you authorize the charge to your selected payment instrument and confirm that you are the lawful holder of that instrument.

7.3 Withdrawals

You may withdraw available wallet balance, subject to:

  • Successful completion of identity verification (see Section 8).
  • Minimum withdrawal thresholds and processing schedules as disclosed in the Platform interface.
  • Withdrawal processing fees as disclosed at the time of withdrawal. Standard withdrawal fees are the greater of $0.50 or 2% of the withdrawal amount; Pro-tier members are subject to reduced fees of the greater of $0.25 or 1%.
  • Compliance review for fraud, AML, and risk management purposes, which may delay individual withdrawals.

7.4 Chargebacks

If you initiate a chargeback or payment dispute for a deposit that was successfully credited to your wallet, your Account may be suspended pending review. We reserve the right to debit the disputed amount, plus any associated fees, from your wallet balance or to set off the disputed amount against future Prizes.

7.5 Dormancy

Wallets that remain inactive for an extended period may be subject to dormancy procedures consistent with applicable unclaimed-property laws.

08 KYC and AML Compliance

8.1 Identity Verification

Prior to your first cash withdrawal — and at other times as we may reasonably require — you will be asked to complete identity verification through a regulated third-party Know-Your-Customer ("KYC") provider. Verification may require submission of a government-issued photo identification, a selfie or short video, and proof of address.

Verification information is collected and processed by our KYC provider in accordance with their privacy and data-protection policies. We retain only the verification result and limited metadata necessary for compliance recordkeeping.

8.2 Anti-Money-Laundering

We maintain an Anti-Money-Laundering ("AML") program appropriate to the nature and scale of our Platform, including sanctions screening, suspicious-activity monitoring, transaction limits, and reporting in accordance with applicable law. You agree not to use the Platform to launder funds, evade taxes, finance prohibited activities, or otherwise violate financial-crimes laws.

8.3 Information Sharing

We may share verification information, transaction information, and other Account data with regulators, law enforcement, payment processors, KYC providers, and other parties as required by law or as reasonably necessary for compliance.

09 Refunds and Disputes

9.1 Entry Fees

Entry fees are refundable only in the following circumstances: (a) a Competition is canceled by Next Talent before it begins; (b) you withdraw your entry before the registration deadline; (c) a technical failure on our end prevents you from participating; or (d) we determine in our discretion that a refund is appropriate.

9.2 NC Purchases

Purchases of NC are non-refundable except where required by law or where we determine a refund is appropriate (for example, in cases of unauthorized payment or duplicate transactions).

9.3 Dispute Procedure for Competition Results

If you believe a Competition result is incorrect, you must submit a dispute through the Platform's dispute interface within the period specified in the applicable Competition rules (typically 24 to 72 hours). Disputes are reviewed by our operations team, which may request screenshots, video, or other evidence. The decision of our operations team is final.

9.4 Payment Disputes

For disputes related to deposits, withdrawals, or wallet balances, contact us at support@nexttalentinc.com before initiating a chargeback with your card issuer or bank.

10 User Conduct

You agree not to:

  • Use the Platform for any purpose that is illegal, fraudulent, or harmful to other Users or to Next Talent.
  • Cheat, exploit bugs, use unauthorized third-party software, or otherwise circumvent the integrity of any Competition.
  • Collude with other Users to manipulate Competition outcomes.
  • Engage in harassment, hate speech, threats, doxxing, or other abusive behavior toward other Users or our staff.
  • Impersonate another person, misrepresent your identity, or create misleading content.
  • Reverse-engineer, decompile, scrape, or attempt to derive the source code of the Platform.
  • Interfere with the operation of the Platform, including by introducing malware, conducting denial-of-service attacks, or probing for vulnerabilities without authorization.
  • Use the Platform to launder funds, finance prohibited activity, or evade applicable laws or sanctions.
  • Sell, transfer, or commercially exploit your Account, your NC balance, or your Platform standing without our written consent.

Violation of these conduct rules is grounds for suspension or termination under Section 15, forfeiture of NC and pending Prizes, and reporting to law enforcement where appropriate.

11 Match Integrity and Anti-Cheat

We are committed to maintaining the integrity of Competitions on the Platform. We employ a combination of human review and automated systems — including screenshot adjudication, statistical anomaly detection, OCR-based stat verification, and integration with publisher anti-cheat where available — to detect and respond to cheating, collusion, and other forms of competitive integrity violations.

If we determine that you have violated competitive integrity rules, we may, without limitation: void Competition results, forfeit Prizes (including paid Prizes, which we may claw back), suspend or terminate your Account, ban your associated devices or payment instruments, and report you to game publishers, law enforcement, or governing bodies.

12 Intellectual Property

12.1 Next Talent IP

The Site, the Platform, and all associated content — including software, design, text, graphics, logos, the "NXTE" and "Next Talent" marks, the NC system, the competition formats we create, and all related intellectual property — are owned by Next Talent Inc. or our licensors and are protected by U.S. and international intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Site and the Platform solely for personal, non-commercial use in accordance with these Terms.

12.2 Third-Party Game Content

Competitions involve video games developed and owned by third-party publishers. All trademarks, copyrights, and other intellectual property in those games are the property of their respective owners. Next Talent does not claim ownership of any third-party game content.

12.3 Feedback

If you provide us with suggestions, ideas, or feedback about the Platform, you grant us a perpetual, royalty-free, irrevocable license to use that feedback for any purpose, without compensation to you.

13 User Content

13.1 Ownership

You retain ownership of content you submit to the Platform — including profile information, screenshots, video clips, chat messages, comments, and other materials ("User Content").

13.2 License to Next Talent

By submitting User Content, you grant Next Talent a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, modify, create derivative works of, publicly display, and distribute the User Content in connection with operating, providing, and promoting the Platform, including in marketing materials and on social media.

13.3 Your Representations

You represent and warrant that your User Content does not infringe any third party's rights, does not violate any law, and is not defamatory, obscene, or otherwise objectionable. You are solely responsible for your User Content.

13.4 Removal

We reserve the right, but have no obligation, to review, monitor, edit, or remove User Content at any time and for any reason, including User Content that violates these Terms.

13.5 DMCA

If you believe content on the Platform infringes your copyright, send a notice to dmca@nexttalentinc.com containing the information required by the Digital Millennium Copyright Act, 17 U.S.C. § 512.

14 Third-Party Services

The Platform integrates with and depends on third-party services, including but not limited to: payment processors (such as Stripe and our payout processor); identity-verification providers; game publishers; streaming platforms (Twitch, YouTube, Kick); the Telegram messaging platform, including the Telegram Mini-App framework and Telegram Gifts; and our engineering partner, @Crypto LLC. Your use of these services may be subject to their own terms and privacy policies.

We are not responsible for the availability, accuracy, or content of third-party services. We do not endorse any third-party service and disclaim all warranties relating to third-party services. If a third-party service becomes unavailable, certain Platform features may be impacted, and we reserve the right to suspend or modify affected features without liability.

15 Suspension and Termination

15.1 By You

You may close your Account at any time by contacting support@nexttalentinc.com. Upon closure, you may withdraw any eligible cash balance subject to Sections 7 and 8. NC balances are forfeited upon Account closure.

15.2 By Us

We may suspend or terminate your Account, with or without notice, if we reasonably believe you have:

  • Violated these Terms or any applicable Competition rules.
  • Engaged in fraud, cheating, collusion, or other competitive integrity violations.
  • Engaged in money laundering, sanctions evasion, or other financial-crime activity.
  • Provided false information at registration or at verification.
  • Created a duplicate Account or shared your Account with another person.
  • Engaged in conduct that, in our reasonable judgment, threatens the safety, integrity, or reputation of the Platform.

15.3 Consequences of Termination

Upon termination for cause: (a) your access to the Platform ends immediately; (b) any NC balance is forfeited; (c) pending Prizes may be voided; (d) we may retain wallet balances pending compliance review, set-off for chargebacks, or other lawful purposes; and (e) provisions of these Terms that by their nature survive termination — including ownership, disclaimers, limitation of liability, indemnification, and dispute resolution — will remain in effect.

16 Disclaimers

The Site and the Platform are provided "AS IS" and "AS AVAILABLE," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation. We do not warrant that the Platform will be error-free, that defects will be corrected, or that any specific Competition, feature, or service will be available at any given time.

To the maximum extent permitted by law, we disclaim all warranties relating to: third-party services and content; the actions of other Users; the availability, fairness, or outcome of any specific Competition (beyond our published rules and obligations); and the performance of underlying network, hardware, or software not under our control.

17 Limitation of Liability

To the maximum extent permitted by law, in no event shall Next Talent Inc., its officers, directors, employees, contractors, agents, partners, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including loss of profits, loss of goodwill, loss of data, loss of Prize opportunity, or business interruption — arising out of or in connection with your use of the Site or the Platform, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for all claims arising out of or relating to these Terms or your use of the Site or the Platform shall not exceed the greater of (a) the total amount you have paid to Next Talent in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100). This limitation applies regardless of the theory of liability — contract, tort, statute, or otherwise — and survives termination of these Terms.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud, willful misconduct, or gross negligence.

18 Indemnification

You agree to defend, indemnify, and hold harmless Next Talent Inc., its officers, directors, employees, contractors, agents, and engineering partners from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Site or the Platform; (b) your violation of these Terms; (c) your violation of any law or third-party right; (d) your User Content; or (e) any dispute between you and another User.

19 Dispute Resolution & Arbitration

Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court and to participate in a class action.

19.1 Informal Resolution

Before bringing a formal proceeding, you agree to attempt to resolve any dispute by contacting us at legal@nexttalentinc.com. We will attempt to resolve the dispute informally for at least sixty (60) days before either party may initiate arbitration.

19.2 Binding Arbitration

Except for claims that may be brought in small-claims court and except for actions to enforce intellectual property rights, any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or the Platform shall be resolved through binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, in the English language, with the seat of arbitration in Wilmington, Delaware. The arbitrator's award shall be final and enforceable in any court of competent jurisdiction.

19.3 Class-Action Waiver

You and Next Talent agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate claims of more than one person and may not preside over any form of representative or class proceeding.

19.4 Opt-Out

You may opt out of the arbitration and class-action waiver provisions of this Section 19 by sending written notice of your decision to opt out to legal@nexttalentinc.com within thirty (30) days of first agreeing to these Terms. Your notice must include your name, your Account email, and a clear statement that you wish to opt out. Opting out will not affect any other provision of these Terms.

20 Governing Law and Venue

These Terms and any dispute arising out of or relating to them, the Site, or the Platform are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

For any claim not subject to arbitration under Section 19, you and Next Talent submit to the exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware, and waive any objection to venue in those courts.

21 Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the Platform interface, by email to the address associated with your Account, or by other reasonable means, and we will update the "Last Updated" date at the top of this document.

Your continued use of the Site or the Platform after the effective date of revised Terms constitutes your acceptance of those Terms. If you do not agree to the revised Terms, you must stop using the Site and the Platform and may close your Account.

22 Miscellaneous

Entire Agreement. These Terms, together with our Privacy Policy and any Competition rules, constitute the entire agreement between you and Next Talent regarding the Site and the Platform and supersede any prior agreements.

Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

No Waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.

Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms to any successor in interest, including in connection with a merger, acquisition, or sale of assets.

No Agency. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Next Talent.

Force Majeure. We are not liable for delays or failures in performance caused by events beyond our reasonable control, including acts of God, war, terrorism, civil unrest, labor disputes, internet outages, power failures, or actions of third-party providers.

Headings. Section headings are for convenience only and do not affect interpretation.
